Constitution Of Queen’s College Alumni Association

NAME AND COMMENCEMENT :

    1. These rules shall be called the Rules of the “Queen’s College Alumni Association” alias “Queen’s College Puratan Chhatra Sangathan”.

    2. They shall come into force with effect from 30th Day of December 2012.

    3. The Association shall consist of all those persons who have signed the Memorandum of Association and all others who become members of the Association by or under these rule and continue to be a member of Association.

     4. The Association shall have perpetual succession and shall sue and be sued by its name, through its Secretary or through such other person as may be authorized by Executive Body of the Association, and ratified by the General Body.

Objects:

    5. To promote the interest and protect the rights and privileges, dignity and prestige of all the members of the Association.

    6. To endeavor for upholding the honour, dignity and reputation of Queen’s College.

    7. To provide inspiration to students of Queen’s College by way of examples and assistance in any or every manner possible.

    8. To promote and encourage friendly feelings, fraternity, unity and cooperation among the members on all matters of common interest.

    9. To provide a meeting place for the member of the Association.

    10. To prepare and implement schemes for giving assistance to members of their families in the distressed circumstances.

    11. To safeguard the rights, privileges and interests of its members.

    12. To hold meetings, conferences, seminars and other functions from time to time for furtherance of the above objects.

    13. To produce and publish pamphlets, leaflets, journals and magazines or any other literature.

    14. To acquire, receive and hold property of any kind including securities, negotiable instruments etc. for the purposes of the Association.

    15. To do all such acts or take such steps as might be necessary for the well being of the Association, or for the fulfillment of these objects.



Definitions: Unless the context otherwise require in this Bye Laws.

16. “Association” means Queen’s College Puratan Chhatra Sangathan .

17. "General Body" means a body comprising of all the members of the Association.

18. "Governing Council of Executive Committee or any other Committee" by whatever name called, means a body to manage the affairs of the Association.

19. "Member" means an honorary member, life member and ordinary member as mentioned in relevant rules.

20. "Ordinary Member" Ordinary Member shall perform all purposes including a life member and not an Honorary Member.


Classes of Membership: The Association shall have the following classes of the members :-

21. HONORARY MEMBERS: being or has been a member of the education or teaching faculty who because of distinguished achievement of service to the cause of Education or Teaching has been admitted by the Association as an honorary member.

22. LIFE MEMBERS: a member on the roll of the Association by payment of an amount to be fixed by the General Body, which will provide income by way of interest equivalent to the membership fee payable by ordinary member, may become life member of that Association.

23. Ordinary Members: a member on the roll of the Association by payment of annual fees to be fixed by the General Body.

REGISTER OF MEMBERSHIP:-

24. The Governing Council/Executive Committee shall cause to be prepared and maintain a Register of members of the Association and shall for the purposes of Rules mentioned above, classify all those who have become members under such Rules.

Admission of Members:

    25. Any person who has ever been enrolled as student of Queen’s College and passed out from College in any year may apply on prescribed form to the secretary of the Association.

    26. Any person, who has been admitted as ordinary member by the Executive Committee/Governing Council shall from the date of admission be entitled to all the privileges of membership, but he shall have no right of vote at annual meetings of the Association until he has paid annual fee in full and has further continued as such for 2 years.

    Office Bearers:

    27. The Association shall have the following office bearers who shall be elected every year in the annual general meeting of the general body.
    • A President
    • A Vice-President
    • A General Secretary
    • A Treasurer
    • Joint-Secretary
    • 20 (Twenty) members of the Governing/Executive Council.


    Governing Council of Executive Committee:
    28. The Governing Council of Executive Committee will consist of 12 elected members and 8 nominated members. President, Vice President, General Secretary and Treasurer shall also be the ex-officio member of Council.

    29. The affairs of the Association shall be managed and its entire business including the investment of its funds shall be conducted by and under the control of Governing/ Executive Council consisting of Office bearers elected under above mentioned Rule.

    30. The Former Presidents & Secretaries of the immediate proceeding year of Association shall be Ex-officio, Member of the Governing Council having power to move.

    Qualification of Office Bearers:

    31. (A) President: Must be a life member and pass out of a batch of Queen’s College prior to 1990 Batch;
    (B) Vice President: Must be a life Member and pass out of a Batch of Queen’s College prior to 1995 Batch;
    (C) General Secretary: Must be a life member and pass out of a Batch of Queen’s College prior to 1995 Batch;
    (D) Treasure: Must be a life member and pass out of a Batch of Queen’s College prior to 1995 Batch;
    (E) Joint Secretary: Must be a life member and pass out of a Batch of Queen’s College prior to 1995 Batch;
    (F) Member of Governing/Executive Council: an ordinary member and pass out of a Batch of Queen’s College prior to 2005 Batch;

    Terms of Office Bearers:
    32.
    The office bearers of the Association and Members of the Governing Council/Executive Committee shall hold the office till the completion of one year from the date of their election, however, in extra ordinary circumstances they may continue for a further period of 3 month with the prior approval Governing/ Executive Council.

    33. FUNCTIONS OF THE GOVERNING COUNCIL:
    The Governing Council shall, subject to the provision of above mentioned Rule:- i) be responsible for the safe custody of the property and assets of the Association and the proper investment of its funds; ii) make arrangements and the maintenance and up-keen of the library and its proper use by the members; iii) Control the use of the accommodation available to the Association. iv) Frame the Annual Budget of the Association and control expenditure in accordance with the Budget. v) Call the Annual General Meeting and other meeting of the Association. vi) Frame bye-laws for the carrying out objects and activities of the Association. vii) Do all other acts necessary for the fulfillment of the objects of the Association. viii) Provided that the Governing Council may delegate any of its function or any specific work to any sub-committee appointed by it, or by the Association, or to any other member. ix) Governing Council of Executive Committee shall not have the power without the prior sanction of Association to spend in any year amount exceeding Rs. 10000 from the fixed deposits of the Association.

    Functions of the office Bearers:

    34. PRESIDENT:- The President of the Association shall: i) Preside and conduct at all meetings of the Association, and Governing Council. ii) The President shall be responsible for the proper functioning of the various office bearers of the Association. iii) Give the casting vote in case of equality of votes at any meeting of the Association or the Governing Council. iv) Represent the Association whenever a formal representation is necessary; v) Perform such other functions as might be required by the rules of the bye-laws of the Association.

    35. Vice President: The Vice-President of the Association shall; (i) Perform the functions of the President, when the president if absent from District or is not available. (ii) Perform such other function as may be required to perform by these Rules of the bye-laws of the Association.

    36. General Secretary: The Secretary shall be the Chief Executive officer of the Association and it shall be his duty to give effect to the resolutions of the Association and of the Governing Council. Subject to such directions or limitations as may be contained in these Rules or in the resolutions of the Association or the Governing Council, he shall have the power of:-

    (a) Spending the funds of the Association in accordance with the Budget, in paying the salaries/wages of the servant, in purchasing books, furniture and materials for the printing press and for other purposes connected with the management of association in accordance with the direction of Governing Council and for this purpose to operate upon the bank accounts of the Association along with President/Treasurer. (b) Spending a sum not exceeding Rs.1000/- in any year for extraordinary and emergent purpose of the Association without the previous sanction of the Governing Council. (c) Keeping and maintenance of the accounts and minutes of the meetings of the Association and of the Governing Council. (d) Investment of funds of the Association in current or in current or in fixed deposit in any Scheduled Bank, approved by the Governing Council, withdrawal of the deposits form time to time and to utilize and spend them for the purposes of the Association and to deal with Government and other securities on behalf of the Association in accordance with the directions of the Governing Council. (e) To generally supervise the working of the various activities of the Association, (f) To perform such other functions as he might be required to perform by these Rules or the bye-laws of the Association.

    37. Joint Secretary: The Joint Secretary shall be the in-charge of administration and shall be responsible to assist the Secretary in discharge of his duties. In the absence of the Secretary, the Joint Secretary shall act for him in all matter that calls for an immediate disposal and Joint Secretary is liable: (a) for the maintenance of the Library of the Association. (b) for performing such other functions as might be delegated to him by the secretary. (c) The Joint Secretary shall also be the In-charge of the publication and shall, under the general supervision of the Secretary, be responsible for publication of Journals, Members Directory and including other connecting publication relating to law and professional ethics.

    38. Treasurer: The Treasurer shall be responsible for: (a) for checking the income and expenditure of the Association; (b) for preparing the annual Budget of the Association for its being placed before the Governing Council; (c) for seeing that all expenditure is in accordance with the Budget, the Rules and the Bye-laws; (d) for advising the Governing Council on all matters relating to financial policy; (e) for performing such other functions as might be assigned to him by the Governing Council; (f) the Treasurer shall operate Banks and other financial accounts along with the President or Secretary;

    39. ANNUAL GENERAL MEETING:-

    The Annual General Meeting of the ordinary members of the Association shall be held every year on a date fixed by the Governing Council before expiry of the term of the office bearers.

    40. BUSINESS AT THE ANNUAL GENERAL MEETING:

     (a) fix a date for electing office bearers, auditors and other members of the Governing Council from amongst its ordinary/life Members. (b) pass the audited annual accounts, the annual report and sanction the Budget for the year from the 1st April to 31st March. (c) adopt such resolutions as might be brought forward for guiding the activities of the Association or its bodies; and

    41. EXTRA ORDINARY MEETING:-

    An extra ordinary General meeting of the ordinary members of the Association shall be convened by the President/Secretary at the requisition of 40 ordinary members. Such requisition shall be in writing; addressed to the Secretary and accompanied by a statement.

    42. Notice of the meeting:

    Notice of Meeting of the Association shall be given at least 7 clear days before the date fixed for the meeting. In case of emergency relating to subject which cannot be postponed for 7 days, a meeting other than annual General Meeting may be called in like manner but at such shorter notice as may be considered sufficient by the Secretary, which will not be in any case less than 24 hours.

    43. QUORUM OF MEETINGS OF THE ASSOCIATION:-

     50 (Fifty) ordinary member (including the office bearers) shall form a Quorum for the Annual General Meeting or Extra Ordinary General Meeting of Association, or 1/3th of total members, whichever is less.

    44. QUESTIONS TO BE DECIDED BY A MAJORITY OF VOTES:-

     Except, as here in after provided, all questions at the meetings of the Association shall be decided by a majority of the votes of member present and voting. The participation of ordinary members will be recorded on the register in their eligible signature. The person presiding shall have a second or casting vote in case of tie. No voting by proxy shall be allowed.

    45. PROCEEDINGS TO BE RECORDED:

     The decisions arrived at a meeting shall be binding on all members of the Association. The Secretary and the Joint Secretary shall keep a record of the proceedings of all the meetings held under the provisions herein contained. Such record shall be open to inspection by members of the Association only.

    46. QUORUM OF THE GOVERNING COUNCIL:-

    Eight members, of whom at least two shall be those not holding an office, shall form the quorum of meeting of the Governing Council.

    47. MEETINGS OF THE GOVERNING COUNCIL:- The Governing Council of Executive Committee shall meet as often as may be necessary but at least 3 times in a year and all the provisions in these Rules relating to the meetings of the Association shall apply mutatis mutandis to such meetings of the Governing Council. Notice of Meeting of Governing Council shall be given at least 7 clear days before the date fixed for the meeting.

    48. Funds of the Association: The fund of the Association shall consist of :- (a) All sums received or on behalf the Association in cash or in hand. (b) All annual Subscription fee or Life time membership fees.

    49. PROPERTY OF THE ASSOCIATION:-The property of the Association shall consist of all property received or acquired by or on behalf of the Association. Acquisition Custody or Disposal of Funds and property of the Association.

    50. All funds and properties of the Association shall be under the direct control and management of the Association and shall be acquired, maintained and disposed of in accordance with these Rules or bye-laws, in furtherance of the objects of the Association. 51. No members of the Association shall on ceasing to be a member of the Association, have any right to or claim upon any fund or property of the Association, or to the use of such or property.

    52. ACCOUNTS OF THE ASSOCIATION:- The Treasurer shall cause to be kept an account of all receipt and disbursement made by or on behalf of the Association, during the year. The Accounts shall be audited, once every year, by a qualified auditor, appointed by the Annual General Meeting or failing such appointment by any other General Meeting of the Association. The Audited Annual Accounts to be presented at the Annual General Meeting.

    53. BYE LAWS :- Subject to these Rules the Governing Council may, from time to time, frame bye-laws, for the purpose of carrying out the objects or regulating the activities of the Association. The bye-laws framed shall not be effective till they have been approved by General Body.

    54. AMENDMENT OF RULES:- None of these Rules Shall be altered or modified or rescinded nor shall any new rule be framed unless they have received the assent of two–third of the members present and voting, by secret ballot, at a General Meeting convened for the purpose.

    55. PROCEDURE OF ELECTION:– (a) The meeting of the General Body of the Association will convene before the expiry of term of the existing office-bearers and shall fix a date for election. (b) The person, who has held office, will not be entitled to contest the following Elections in sequence. However, he can re-contest after a gap of one year at the same post.
